By signing up with Vendemy.com (“Services”) or otherwise using any services of IK RECTUSMEDIA company (LV id: 40002165093), you are entering into a binding contract and agreeing with our terms and conditions ("Terms"). All updates, added features and tools of the service shall also be included in the Terms unless stated otherwise. Vendemy.com Terms are subject to change, therefore, please be advised to check the Terms from time to time.

Your agreement with us includes Terms and Conditions and Privacy Policy hereunder, by registering your account, you are therefore, agreeing to these Terms.

1. Account Terms

1.1. You must be 18 years or older or at least of legal age from which country you reside.

1.2. Upon accessing and using the account, you are required to register and provide the following to Vendemy.com ("Account"); your full legal name, current address, phone number, valid email address, and any other information that may be required in the form. Vendemy.com has the right to reject or cancel your application and membership for any reason deemed necessary by the company.

1.3 You are agreeing that the registered email address will be the primary contact for communication between you and Vendemy.com. Upon using and registering with Vendemy.com, the Service will also be given the right to access your third-party accounts through the applicable API that will enable the function of interoperability of the third-party accounts that are linked to you or any other accounts associated with it.

1.4 Vendemy.com will not be liable for any loss or damage in your account. You will be held responsible for keeping your personal information, such as passwords, username and the like, secure.

1.5 You are prohibited to transmit any data or content that may contain harmful elements to the code, such as worms, viruses or the like. You will also be held responsible for the activity and contents of your Vendemy.com Account ("Content") such as photos, graphics, videos, links and other.

1.6 Any violation to the terms will result to cancellation of the membership or account to Vendemy.com.

2. Vendemy.com Rights

2.1 Vendemy.com reserves the right to change and/or cancel the Service for any reason without prior notice and the right to deny service to any individual at any given circumstance.

2.2 Vendemy.com reserves the right to take down any Content and Account containing materials that are threatening, defamatory, obscene, pornographic, unlawful, and offensive or otherwise violates any individual's intellectual property or these Terms.

2.3 Vendemy.com reserves the right to provide Service to anyone, even one of your competitors, and will not be held for exclusivity in any market. You also agree that Vendemy.com employees and related contractors may also be an Vendemy.com member, therefore, may compete with you, but will be bound with our confidentiality agreement.

2.4 For security purposes, Vendemy.com reserves the right to request legal documentation such as, a copy of your business license, government issued ID and other information, to verify the account's ownership.

3. Limitation of Liability

3.1 You understand and agree that Vendemy.com shall not be liable for any damage or loss of profit, data, goodwill or other losses resulting from the use or limitation of the Service.

3.2 Vendemy.com will not be held liable to neither its third-party contractors nor affiliates due to loss of profit or damage in connection with our services, sites or Terms, including negligence.

3.3 You hereby agree to release and secure Vendemy.com and any of its contractors, employees and affiliated individuals or businesses from any legal claim or demand caused by any third party including, but not limited to, the third party account which you have provided Vendemy.com access to in agreement with Section 1.3 above, as a result of breach of Terms, Contracts, or third parties accounts terms of use or any applicable illegalities.

3.4 In spite of the total liability of Vendemy.com with regards to the losses you might incur in accordance to the price inconsistency during the system failure that may cause the item to be sold below their value at the time of purchase, shall be limited to the total sum of fees paid by the member in the (1) month period immediately prior the most recent event allowing the liability under this section 3.4. The Proof with respect to such losses will be yours

3.5 The Service provided is as is and is not covered with any warranty. Your use of the Service will be at your own risk.

3.6 Vendemy.com does not guarantee an uninterrupted, secure or error-free service.

3.7 Vendemy.com does not guarantee an accurate and reliable result that may be procured in the use of this Service.

3.8 Vendemy.com does not guarantee the members expectation with any product or services that was purchased or acquired through the Service.

3.9 As an agreement, understanding and clarification that the listings created under the members account through the Service will be the members property, and will be fully accountable and responsible for the said listings, together with professional transactions with their customers, suppliers, contractors or any third-party services that have allowed Vendemy.com access.

4. Intellectual Property and Customer Content

4.1 Vendemy.com will not divulge nor release any confidential information to third parties, unless required in the process of acquiring our services. Confidential Information will not be limited to any material or content that was publicly known or information that: (a) can be found in public domains upon the time acquired; (b) acquired from anyone other than the member without the breach of confidentiality obligations; (c) was received through public domain that comes through will not be our fault; or (d) was required by law.

4.2 All materials uploaded in Vendemy.com will be your sole property and Vendemy.com will not claim any rights over the content or materials you will provide. You will be given the full authority to remove your Vendemy.com account or listings at any time you deem necessary.

5. Cancellation and Termination of Services

5.1 Cancellation of accounts can be done at any time by cancelling the payments through the respective payment channels.However, express checkout products and services are non- refundable and cannot be cancelled.

5.2 Upon cancellation of membership to the Services, for any reason:

5.2.1 Vendemy.com shall be cancelling all access to the account and will no longer be allowed to use the Services

5.2.2 Cancellation of membership within 72 hours of registration, will allow you to refund your (1) month membership fee only. All other fees, pro-rata or otherwise will be excluded unless mentioned in the Terms of Service.

5.2.3 All balance payable to Vendemy.com for the use of Service within the date of cancellation will immediately become due, payable in the full amount.

5.3 Upon the date of termination, all outstanding balances or fees owed by the member shall be computed and the member will receive a final invoice through email. Once payment has been made in full, no other financial obligations shall be made.

5.4 We have the right to change or cancel any Vendemy.com Services and/or Account for any reason deemed necessary without prior notice.

5.5 Vendemy.com has the right to suspend and cancel any Account, if suspected that the member has committed fraudulent activity within its connection to the Site.

5.6 You have the ability to cancel the membership fourteen (14) days after the date of payment.

6. Changes to the Service and Prices

6.1 All price changes will be corresponded through a written notice and will be posted in the Vendemy.com Site. Change in price shall be applied to future invoices, regardless of the date of notice.

6.2 Vendemy.com holds the right to change, modify or cancel the Service (or any part thereof) with or without prior notice at any given time.

6.3 Vendemy.com will not be held liable for any price change, modification, suspension or cancellation of the service to you or any third-party accounts.

7. Third Party Services

7.1 You also agree to be subjected to additional Terms by third party services not limited to any listing created by the member via the Service.

7.2 Vendemy.com will not be liable or responsible for any third-party services and has no control over the account or services related to the third-party accounts.

7.3 Allowing access to Vendemy.com with your third-party accounts will grant us permission to access any data and to take any action permitted and require for the interoperation of the third-party services with the Service, and any exchange of data between Vendemy.com and the third-party contractor will be on your behalf. Vendemy.com will not be accountable with any disclosure, modification or deletion of your Content or for any damage that may occur during the process.

7.4 In no circumstances shall Vendemy.com be held responsible for any direct or indirect indent or damage that might result from any third-party services. This is applicable even though Vendemy.com has been informed of the possibility of the damages. The aforementioned limitation shall be applied to the full extent of the law.

7.5 You are in agreement with Vendemy.com to hold us, our employees, contractors and other affiliated individuals harmless from any claim or demand, not limited to attorney fees, or any result from the use of a Third-Party Service or your relationship with a Third-Party Provider.

8. Privacy Policy

8.1 Vendemy.com may share your Content and other non-identifiable information with its affiliates and the use of this information will be limited to these terms.

8.2 Your non-identifying information and other data provided to us by using the Service and your registration via any Third Party's account may be stored by Vendemy.com.

8.3 Vendemy.com uses "cookies" to gather information. A cookie is a small data file that we transfer to your computer’s hard disk for record-keeping purposes. You may change the option on your browser, to decline or notify you before allowing cookies from a website.Declining the cookies may however hinder you from using all portions or functionalities of the Service. We may disclose any information if required by law enforcement provided by a court order or legal provision.

9.Miscellaneous

9.1 As a paying member of Vendemy.com you are provided with Technical Support via Vendemy.com website

9.2 You are not allowed to use Vendemy.com for any illegal or unauthorised purpose or in any way violate any laws in your jurisdiction (including but not limited to copyright laws) or those applicable to you and your customers jurisdiction. You are required to comply with the laws, rules and regulation in your use of service.

9.3 The Term shall be governed in accordance with the laws of Latvia. The parties shall irrevocably submit to the exclusive jurisdiction of the court for any dispute or claim caused by or any connection with the Terms of Service.

9.4 Vendemy.com failure to exercise or enforce any right of Terms shall not initiate a waiver of right or provision.

9.5 In case that these Terms have been null and void; the remaining clause of these terms shall still be strictly implemented.

9.6 You are agreeing that any information, portion, access or use of service shall not be reproduced, copied, sold, duplicated or resold without a written permission of Vendemy.com.

9.7 You accept and grant that the use of the Service, not limited to information stored and transmitted by Vendemy.com will be governed by the privacy policy of Latvia.
